Before you start

  • The company must be successfully linked to your corporate profile with up-to-date annual return filings.
  • Any incoming director must hold a valid, active personal KRA PIN and personal eCitizen profile.
  • Any share transfer requires clear capital gains tax (CGT) compliance clearing if flagged by the system.

Documents you need

  • Scanned color copy of the signed Special Resolution authorising the changes.
  • Scanned Letter of Resignation (if a director is leaving) or a Letter of Consent (if a new director is being appointed).
  • Form CR6 (Notice of Appointment) or Form CR9 (Notice of Resignation) filled and signed.
  • Form Form I (Transfer of Shares form) signed by both the transferor and transferee (for share adjustments).
  • Scanned color copies of National ID cards or Passports for all incoming members.

Questions

Can a director be removed without their written consent or resignation letter?
Yes, but it requires a strict legal workflow under the Companies Act. The shareholders must issue a special notice, hold an extraordinary general meeting (EGM), pass a removal resolution, and upload proof that the director was given a chance to be heard, alongside a sworn structural affidavit.
Do new directors get added to the company CR12 document instantly?
No. New entries only reflect on the official registry records after a BRS verification officer manually reviews your attached resolution files and clicks "Approve". Once approved, you can download a fresh, updated CR12.
